Terms of Service
These Terms govern your use of Shopperoll — including your account, dashboard access, purchases, seller tools, and platform rules.
These Terms explain your rights and responsibilities when using Shopperoll, including accounts, orders, and services.
IMPORTANT: THESE TERMS OF SERVICE GOVERN YOUR USE OF THE SHOPPEROLL PLATFORM, INCLUDING BROWSING, PURCHASING, SELLING (IF AVAILABLE), AND RELATED SERVICES. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM. THIS DOCUMENT IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES AND SHOULD BE REVIEWED BY LEGAL COUNSEL TO CONFIRM COMPLIANCE WITH APPLICABLE LAWS AND YOUR BUSINESS MODEL.
These Terms apply to services offered under Shopperoll’s domains and apps (collectively, the “Service”). Your use of the Service is also subject to our Privacy Notice and any additional policies referenced here.
I. DEFINITIONS
- “Shopperoll”, “we”, “us”, “our” means the operator of the Shopperoll platform and, where applicable, our affiliates and service providers acting on our behalf.
- “Service” means the Shopperoll websites, apps, and related features and tools we make available, including browsing, search, personalization, checkout, payments, order management, shipping and tracking displays, messaging, customer support, and any related functionality that may be introduced, updated, or discontinued from time to time.
- “Customer”, “Buyer”, “you”, “your” means an individual who visits, accesses, or uses the Service for personal shopping purposes, including placing or attempting to place an Order. These Customer Terms do not govern Sellers’ use of the Service except where expressly stated.
- “Account” means a registered Customer profile used to access the Service, including authentication credentials, profile details, saved addresses, payment preferences (if any), communication settings, and security controls.
- “Dashboard” means the account area of the Service where Customers can view and manage orders, returns, refunds, saved addresses, preferences, and communications, and access other Customer-facing tools we may provide.
- “Seller”, “Vendor”, “Store”, “Merchant” means a third party (business or individual) that lists and sells products through the Service. Unless we explicitly state otherwise, Sellers—not Shopperoll—are responsible for their Listings, product quality, fulfillment, and customer service obligations related to their products.
- “Listing” means a product page or offer published by a Seller through the Service, including titles, descriptions, images, options/variants (e.g., size/color), pricing, availability, shipping terms, and any Seller-stated policies or disclosures.
- “Order” means a purchase transaction submitted by a Customer through checkout. An Order may include one or more items, shipping charges, taxes, discounts, and an order reference or code.
- “Order Status” means the state of an Order or item as displayed in the Service (for example: placed, confirmed, shipped, delivered, returned, refunded, or cancelled). Status updates may be based on Seller actions, carrier updates, and system processing, and may not be immediate or error-free.
- “Payment” means the processing of charges related to an Order, including authorization, capture/settlement, refunds, reversals, disputes, chargebacks, and payment method verification, as applicable. Payments are typically processed by third-party payment providers.
- “Fees” means amounts payable by a Customer in connection with an Order or use of the Service, as disclosed at checkout or otherwise in the Service, such as item price, shipping charges, taxes, and any optional service charges (if applicable).
- “Shipping”, “Fulfillment” means the packing, labeling, dispatch, transport, and delivery of products. Fulfillment is typically performed by Sellers and carriers and may be supported by third-party logistics or shipping tools. Delivery estimates are informational and not guarantees unless explicitly stated in writing by Shopperoll.
- “Shipping Label” means a carrier label purchased, generated, or provided for shipment of an Order (including return shipments where applicable). Label availability, pricing, and carrier rules may vary by destination and provider integrations.
- “Tracking” means shipment tracking information received from carriers and displayed through the Service, including tracking events (e.g., in transit, out for delivery, delivered). Tracking is provided for convenience and may be delayed, incomplete, or inaccurate due to carrier systems.
- “Returns”, “Refunds” means the processes for requesting, approving/denying, shipping back, and refunding items, as offered through the Service and/or governed by applicable Seller policies and Shopperoll’s published returns guidance (if any). Refund eligibility, timing, and method depend on the item, reason, Seller decision (where applicable), and payment provider processing.
- “Content” means any text, images, photos, videos, listings, reviews, ratings, messages, files, or other materials made available through the Service, whether provided by Customers, Sellers, Shopperoll, or third parties.
- “User Content” means Content submitted by Customers, including reviews, ratings, messages, profile information, and other submissions. Visibility and sharing depend on the feature and settings, and may be subject to moderation or removal under these Terms and applicable Policies.
- “Messages”, “Chat” means communication features made available through the Service, including Customer–Seller messaging and contact with Shopperoll support (where available). Access to messaging may be limited based on account status, order context, verification, safety rules, or compliance requirements.
- “Promotions”, “Credits”, “Discounts” means coupons, promotional codes, store credits, referral offers, or other discounts offered by Shopperoll or Sellers, subject to eligibility criteria, expiration dates, usage limits, and any other terms disclosed at the time of offer.
- “Third-Party Services” means services not operated by Shopperoll that may be used to provide or support functionality (including payment processors, carriers, shipping aggregators, identity/verification tools, and analytics). Third-Party Services may be subject to their own terms and policies.
- “Policies” means additional rules and documents referenced by these Terms (for example: Privacy Notice, Cookie Policy, Returns Policy, and Acceptable Use rules), which may be updated from time to time and form part of this agreement to the extent referenced.
II. ELIGIBILITY AND ACCOUNT
You may use the Service only if you are legally able to form a binding contract in your jurisdiction. If you use the Service on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. You may browse portions of the Service without creating an Account. However, to place an Order and access certain features (including checkout, order history, shipping updates, returns, and customer support or Buyer–Seller messaging where available), you must create and maintain an Account.
To create an Account, you must provide accurate and complete information, which may include your name, email address, phone number, a password or other authentication credentials, and such additional information as may be required to secure your Account, prevent fraud, and comply with applicable law. You agree to keep your Account information current through your Dashboard.
To place an Order, you must also provide a valid shipping address and any other delivery details requested at checkout (for example, recipient name and contact number where required by carriers). You must provide a valid payment method accepted by our payment processor and authorize us (and our payment provider) to charge the applicable amounts shown at checkout, including item price, shipping, taxes, and any disclosed fees.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, including activity conducted through your device, browser session, or saved credentials. You must notify us promptly if you believe your Account has been accessed without authorization or if you suspect any security incident involving your Account.
We may suspend, restrict, or require additional verification for any Account if we reasonably believe the Account has been compromised, is being used for fraud or abuse, was created using false or misleading information, or is otherwise being used in violation of these Terms, our Policies, or applicable law. You agree not to (a) create an Account using a false identity or another person’s information without permission, (b) buy or sell Accounts, (c) access the Service through unauthorized means or attempt to bypass access controls, (d) probe, scan, or test the security of the Service, or (e) interfere with or disrupt the integrity or operation of the Service.
III. THE MARKETPLACE ROLE
Shopperoll may operate as a marketplace that connects Buyers and Sellers. Unless we explicitly state otherwise, Sellers list and sell products through the Service, and Sellers are responsible for product descriptions, pricing, inventory, fulfillment, warranties (if any), and compliance with applicable laws and regulations.
Shopperoll provides the platform experience and tools that make marketplace transactions possible—such as browsing, search, product pages, checkout flow, order history, status updates, tracking displays, return requests (where supported), and customer support pathways. Depending on your location and the features enabled, we may also provide messaging tools that allow Buyers and Sellers to communicate about orders.
When you purchase from a Seller, your transaction may create a direct relationship between you and that Seller for the purchase, delivery, and any applicable Seller policies, subject to these Terms and applicable law. We may assist with issue resolution through the Service, but we do not guarantee outcomes and are not responsible for Seller actions except where required by law or expressly stated in these Terms.
IV. LISTINGS, PRICING, AND AVAILABILITY
Listings on the Service are created and managed by Sellers and may include product images, descriptions, measurements, materials, sizing/variant details, care instructions, and other information. While we may provide tools and guidelines to promote accurate Listings, we do not warrant that any Listing is complete, reliable, current, or error-free, and we are not responsible for typographical errors, color or display differences, or inaccuracies in Seller-provided content.
Availability is shown on the Service using indicators such as “In Stock,” “Low Stock,” “Out of Stock,” or similar labels. These indicators are based on inventory information provided by Sellers and system calculations, and may change at any time. Items may sell out between the time you view a Listing and the time you attempt to check out. We may limit quantities per customer, refuse bulk purchases, or restrict purchasing where we reasonably believe activity is abusive, fraudulent, or otherwise violates these Terms.
In certain cases, inventory may be reserved temporarily during checkout or while an Order is being processed. If an item becomes unavailable, is oversold, or cannot be fulfilled, the affected item or Order may be cancelled and any amounts paid for the cancelled portion will be refunded in accordance with these Terms and applicable law.
Prices are displayed on Listings and may vary by size, color, or other variant, and may change at any time before you place an Order. Unless expressly stated otherwise, listed prices typically exclude shipping, taxes, duties, or other governmental charges. The final total you are charged (including item price, applicable shipping charges, taxes, and any applied discounts) will be shown at checkout before you submit your Order.
Promotions, credits, and discount codes may be subject to additional terms, eligibility requirements, limits, and expiration dates. Discounts may not apply to all items or shipping options, may be limited to one per customer or per Order, and may be removed or reversed if an Order is cancelled, returned, refunded, or determined to violate the promotion rules. If a promotion is applied, the refundable amount may be adjusted to account for the discount actually received.
Shopperoll operates as a marketplace. You pay the total amount shown at checkout. Separately, Sellers may receive net proceeds for fulfilled Orders after applicable marketplace fees, payment processing costs, and other Seller-side charges (as permitted by Seller agreements). Those Seller-side amounts do not change the total you are charged, and the Service may earn fees from Sellers or other sources for operating the marketplace.
Shipping charges and delivery estimates are calculated and displayed based on the shipping address, package assumptions, carrier rates, and the shipping option you select (for example, economy, standard, or express). Delivery estimates are not guarantees. Sellers generally fulfill Orders and may select packaging, carrier services, and routing consistent with the selected option and applicable carrier requirements. If a material change is required (for example, address corrections, carrier restrictions, or operational constraints), we or the Seller may contact you with available options, which may include updating the shipping option, adjusting the shipping charge with your consent where required, or cancelling the Order.
We may correct errors, update information, remove content, or restrict visibility of certain Listings at any time. If we identify an error related to pricing, availability, taxes, shipping, or other Order details, we may (a) correct the error before you submit an Order, (b) contact you with next steps, or (c) cancel the affected Order or item and issue a refund, subject to applicable law.
Refunds (if applicable) are typically issued to the original payment method and may take time to appear depending on your bank or payment provider. Refund timing and eligibility can depend on the reason for the refund (for example, cancellation, non-fulfillment, approved return, or dispute), Seller policies where applicable, and payment processor rules. Shipping charges, taxes, and discounts may be treated differently depending on the circumstances, applicable law, and the outcome of any return or cancellation.
V. ORDERS AND CONTRACT FORMATION
When you place an Order through the Service, you are making an offer to purchase the items you selected, for the price and on the terms shown at checkout (including any shipping, taxes, discounts, and other amounts displayed). You agree to review your cart, delivery details, customization inputs (if any), and contact information carefully before submitting, because these details may be used to create shipping labels, confirm eligibility, and route the Order to the correct Seller for fulfillment.
You acknowledge that Orders and related communications may be executed electronically. By using the Service, you consent to receiving notices and records related to Orders in electronic form (such as via the Dashboard, email, or in-app notifications) where permitted by law. In the United States, electronic records and electronic signatures generally may not be denied legal effect solely because they are electronic (see E-SIGN Act (15 U.S.C. § 7001)).
Contract formation on the Service depends on the workflow presented to you and the type of transaction. As a marketplace, the Service may route your Order to one or more Sellers, and each Seller may have limited time to confirm availability, verify customization details, and accept the Order for fulfillment. In general, a contract is formed only when the Service (and/or the Seller, as applicable) accepts your Order through an explicit confirmation step shown in your Dashboard, and any required payment step is completed under the applicable flow.
Typical acceptance flow (example — may vary by Seller, product type, delivery method, and risk checks):
- Checkout Submission (Offer): You submit an Order request by pressing the checkout/submit button and providing a valid payment method.
- Payment Authorization (Hold): Your payment method may be authorized (a hold) for the Order total, including estimated shipping and taxes. Authorization is not always an immediate “capture” or final settlement.
- Seller Confirmation (Acceptance): The Seller may confirm the Order (for example, after verifying inventory, size/variant selection, and any customization inputs).
- Payment Capture/Settlement: After confirmation (or as shown in the Service flow), the authorized payment may be captured/settled. In some cases, capture may occur immediately at checkout.
- Fulfillment & Shipment: The Seller prepares the shipment, obtains tracking/labels (directly or through third-party shipping tools), and ships the items.
Where U.S. commercial law applies (for example, for the sale of goods), contract formation can occur through conduct that recognizes a contract and acceptance may occur in reasonable ways depending on the circumstances (see UCC § 2-204 (Formation in General) and UCC § 2-206 (Offer and Acceptance)). The Service’s acceptance workflow is intended to make the acceptance point clear in your Dashboard, but you agree that minor timing differences (for example, carrier scans, provider confirmations, or notification delays) do not invalidate an otherwise valid transaction.
We may, in our discretion and to the extent permitted by law, refuse, cancel, or limit Orders (including quantity limits) for reasons such as suspected fraud, risk signals, pricing or listing errors, inventory issues, invalid addresses, policy violations, unusual chargeback history, export/sanctions concerns, or legal compliance requirements. If an Order is canceled after an authorization hold is placed, the hold will typically be released by your bank/payment provider according to their timelines. If a payment has already been captured, refunds (if any) will be handled under the applicable refund/returns flow and may take time to appear depending on your payment method and bank.
Some items may be made-to-order, customized, personalized, or otherwise prepared based on information you provide. You are responsible for the accuracy and completeness of any customization inputs (e.g., sizing details, engraving text, uploaded files, or special instructions). Once production or preparation begins, cancellation may not be possible and refunds may be limited, except where required by law or stated in the applicable return/refund policy. If your inputs are unclear or inconsistent, the Seller may request clarification, delay fulfillment, or cancel the Order if confirmation cannot be obtained within a reasonable timeframe.
Order updates (including confirmations, cancellations, shipment notices, and tracking) may be displayed in your Dashboard and/or sent via email, SMS, or in-app notifications depending on your settings, carrier availability, and supported features. Tracking data is supplied by carriers and third-party systems and may be delayed, incomplete, or temporarily inaccurate (for example, scans can occur in batches or be missed). Delivery dates shown in the Service are estimates, not guarantees, unless explicitly stated otherwise in writing by the Service.
If you are a U.S. consumer ordering merchandise for delivery, certain shipping-time and delay-notice obligations may apply when a shipment time is represented (for example, the FTC’s Mail, Internet, or Telephone Order Merchandise Rule, 16 C.F.R. Part 435). Where applicable, the Service and/or Sellers may provide delay notices and cancellation/refund options consistent with those requirements (see 16 C.F.R. Part 435 (Order Merchandise Rule)).
VI. PAYMENTS, FEES, AND WALLET (IF APPLICABLE)
Payments on the Service may be processed by third-party payment providers (for example, card networks, banks, and payment processors). By submitting payment information, you represent that you are authorized to use the payment method, that the information you provide is accurate, and that you allow the Service and/or its providers to process the transaction. We (and our providers) may use verification measures to prevent fraud and comply with legal and network requirements, including identity checks, address verification, device/risk scoring, and authentication steps such as 3D Secure where supported.
Authorization vs. capture/settlement: At checkout, your payment method may be authorized for the Order total, which can appear as a pending charge or hold. The authorized amount may be captured/settled immediately, or captured later depending on the Service workflow and Seller confirmation process. If an Order is split across multiple Sellers or shipments, the Service may process captures and refunds in multiple parts. If an authorization expires or fails before capture, the Seller may be unable to confirm the Order, and the Order may be canceled.
Pricing, taxes, shipping, and other amounts: The total shown at checkout may include item price, shipping charges, sales tax/VAT/GST or similar taxes, and discounts. Tax amounts may be estimated based on information available at checkout (such as shipping address, Seller location, and product tax category) and may be adjusted as permitted by law. You are responsible for any duties, customs fees, import taxes, or brokerage charges that apply to cross-border shipments unless explicitly stated otherwise. Currency conversion, foreign transaction fees, or bank fees may be applied by your card issuer or bank and are outside the Service’s control.
Fees and adjustments: The Service may charge or display fees associated with your transaction (for example, shipping, handling, or service fees) when disclosed to you at checkout or within the applicable flow. Some fees may be non-refundable to the extent permitted by law (for example, expedited shipping fees after fulfillment begins), and some amounts may be reversed or adjusted if an Order is canceled, partially fulfilled, returned, or refunded. If the Service provides promotional discounts, credits, or coupons, those offers may be subject to eligibility restrictions, limited-time availability, minimum purchase requirements, and anti-abuse rules.
Failed payments, reversals, and chargebacks: If your payment fails, is reversed, is disputed, or results in a chargeback, we may suspend or limit your access to certain features until the issue is resolved. You agree to cooperate with reasonable requests for information needed to investigate and respond to disputes (for example, confirming delivery address details, providing return shipment information, or responding to verification prompts). We may also require an alternative payment method, restrict certain payment methods, or refuse future Orders where permitted by law.
Wallet, credits, and stored value (if offered): The Service may offer wallet balances, store credits, promotional value, or refunds credited to an account balance. Unless explicitly stated otherwise, these values are not cash, do not earn interest, are generally non-transferable, and may not be redeemable outside the Service. We may apply reasonable controls to prevent fraud and misuse, including limits on redemption, withdrawal restrictions (if any), and identity verification.
Expiration, restrictions, and legal compliance: Credits, promotional balances, and similar stored value may be subject to expiration dates, usage restrictions, and jurisdictional limitations. Where gift cards, store gift cards, or similar instruments are offered to U.S. consumers, additional federal disclosure, fee, and expiration rules may apply (for example, Regulation E requirements for gift cards, including restrictions on dormancy/service fees and the “five-year” availability concept for underlying funds, subject to the rule’s definitions and exclusions) — see 12 C.F.R. § 1005.20 (Gift Card Requirements).
Refund destination: When a refund is approved, we may refund to your original payment method, to a wallet/credit balance, or a combination of both, depending on the method used, timing, fraud controls, and applicable policy. Some payment methods do not support certain refund types, and banks may take additional time to post refunds. We are not responsible for delays caused by banks, card networks, or payment processors.
Errors and corrections: We may correct pricing, listing, payment, or crediting errors to the extent permitted by law. If a correction materially affects you (for example, a duplicate charge, incorrect refund amount, or misapplied credit), we may contact you and/or reflect the correction in your Dashboard. You agree to notify us promptly if you believe there is an error in your transaction history so we can investigate and address it.
VII. SHIPPING, DELIVERY, AND RISK OF LOSS
Shipping and delivery estimates are provided for convenience and planning only and are not guaranteed unless we explicitly state otherwise in writing. Delivery timelines may change due to carrier delays, customs processing, weather, peak seasons, service disruptions, address verification issues, or other factors outside of our control.
Orders may be shipped in multiple packages and/or in multiple shipments, including when items come from different Sellers, different fulfillment locations, or when partial fulfillment is necessary. This means your items may arrive at different times even if they were purchased in the same checkout.
You are responsible for providing complete, accurate, and deliverable shipping details (including recipient name, address, unit number, access instructions where relevant, and a reachable delivery phone number if required by the carrier). If a package is delayed, returned, or lost due to incorrect address information, incomplete delivery details, refusal, unavailable recipient, restricted access, or failure to collect from a carrier location, additional fees may apply and refunds may be limited to the extent permitted by law and Seller policy.
Tracking information shown in your Dashboard is typically provided by carriers and third-party systems and may be delayed, incomplete, or inaccurate at times. Carrier events may be posted in batches and may not reflect real-time location. A carrier “Delivered” scan is not always accompanied by a signature and may reflect delivery to the address on file, a mailroom, a parcel locker, a building reception, or another designated handoff point.
If you experience delivery issues (including missing packages, incorrect deliveries, damage in transit, or tracking that appears stuck), you should contact support as soon as possible via Help so we can assist with investigation steps (such as verifying address details, confirming carrier status, and coordinating with the Seller and/or carrier where applicable).
International shipping and customs (if available): Cross-border shipments may be subject to customs inspections and import requirements, which can delay delivery. Unless explicitly stated otherwise at checkout, you are responsible for applicable duties, taxes, customs fees, and brokerage charges imposed by the destination country or carrier. Some items may not be eligible for international shipping due to legal restrictions or carrier limitations.
Risk of loss: Where U.S. commercial law applies, risk of loss for goods can be allocated under applicable law depending on the shipment arrangement (for example, whether goods are shipped by carrier and whether delivery is to a particular destination). See, for reference, UCC § 2-509 (Risk of Loss in the Absence of Breach). Unless otherwise required by law or expressly stated in the Service flow, risk of loss generally passes when the shipment is delivered to the address you provided (or to an agreed alternate delivery location or pickup point), but claims handling may depend on carrier rules, shipping method, and the facts of the delivery event.
Lost, stolen, or missing packages: If tracking shows “Delivered” but you did not receive the package, you agree to first check nearby drop-off areas, mailrooms, lockers, building management/reception, and household members. If the package is still missing, contact support promptly so we can help initiate an investigation. Replacement or refund outcomes (if any) may depend on carrier confirmation, Seller policy, fraud signals, and the circumstances of delivery.
- Verify delivery details and check common drop-off points (mailroom, reception, lockers, neighbors, safe place).
- Review tracking events and delivery notes shown in your Dashboard (they may update with delay).
- Contact support via Help with your order number and tracking number so we can assist with next steps.
VIII. RETURNS, REFUNDS, AND CANCELLATIONS
Returns, refunds, and cancellations are subject to the Seller’s stated policy, product category, item condition, and applicable law. Some items may be non-returnable or restricted (for example, final sale, personalized/custom items, or hygiene-sensitive items) where clearly disclosed at the time of purchase and permitted by law.

Where available, Shopperoll provides tools that let you request a return, report an issue, or message the Seller through your Dashboard. Sellers may approve, reject, or propose a resolution consistent with their policy and applicable law, and you agree to follow any return instructions (including timelines, packaging requirements, and reasonable proof such as photos where applicable).
If a refund is approved, it may be issued to the original payment method or to wallet/credit (if available), depending on the payment method, Seller policy, platform rules, and legal requirements. Processing times vary by payment provider and bank and may take additional time to appear on your statement.
Cancellation availability depends on the Seller, the order status, and the fulfillment stage. Once shipping has started (for example, a label is purchased, the item is marked shipped, or tracking is issued), cancellation may no longer be possible and you may need to use the return process instead. IX. SELLER TERMS (IF YOU SELL ON SHOPPEROLL)
If you sell on Shopperoll, you are responsible for your Store, Listings, and fulfillment performance. You must provide accurate product information, pricing, variant details, inventory availability, processing/handling times, and any required disclosures, and you must fulfill Orders in accordance with what is shown to Buyers and any applicable platform requirements.
For full Seller requirements (including onboarding, prohibited items, performance expectations, fees/payout rules, and dispute handling), please review our Seller Terms. You are responsible for ensuring your products and business practices comply with applicable safety, labeling, consumer protection, advertising, and import/export rules, as well as any category-specific restrictions. You must not list prohibited or illegal items and must not use the Service to facilitate fraud or deceptive practices.
Seller tools may include order management, fulfillment workflows, tracking updates, messaging (where enabled), and returns/dispute handling. Where label purchasing or shipping integrations are offered, rates and availability may depend on third-party carriers and may change. You are responsible for timely customer support and for handling returns, disputes, and chargebacks consistent with your stated policy, platform requirements, and applicable law.
We may suspend, restrict, or remove Listings or Stores for policy violations, poor performance, excessive cancellations, suspected fraud, chargeback risk, legal risk, or failure to comply with these Terms. We may also place holds on payouts, delay disbursements, request additional verification, or restrict features where required for risk management, payment network rules, or legal compliance.
X. USER CONTENT, REVIEWS, AND LICENSE
The Service may allow you to submit or publish content such as reviews, ratings, comments, messages, photos, videos, audio, usernames, profile information, and other materials (collectively, “User Content”). You retain ownership of your User Content as between you and Shopperoll.
By submitting User Content, you grant Shopperoll a non-exclusive, worldwide, royalty-free, fully paid, transferable, sublicensable (to our service providers), and perpetual (unless prohibited by law) license to host, store, cache, use, reproduce, display, distribute, publicly perform, and modify your User Content solely for purposes of operating, maintaining, securing, improving, and promoting the Service (including formatting, transcoding, creating thumbnails/previews, and content moderation workflows).
You represent and warrant that: (a) you own your User Content or have all necessary rights and permissions to grant the license above; (b) your User Content does not violate any law, regulation, or third-party rights (including privacy, publicity, and intellectual property rights); and (c) your User Content is accurate where it purports to describe real experiences (for example, reviews and ratings). You understand that User Content may be public, may be shared by other users through platform features, and may remain available for a period of time after deletion due to caching, backups, legal obligations, or operational reasons.
We may (but are not required to) monitor, screen, edit, remove, or restrict User Content at any time. We may also suspend or terminate accounts, remove creator privileges, or limit features for repeated violations or abuse, consistent with applicable law.
Content rules (applies to reviews, messages, and Spotlight):
- No illegal or harmful content. Do not post content that facilitates or promotes illegal activity, including fraud, theft, money laundering, or the sale of illegal items. Content involving controlled substances or illegal drugs (including promotion, sale, or instructions) is prohibited, and we may remove such content and report it where legally required (for example, controlled substances as defined under applicable law such as the U.S. Controlled Substances Act, 21 U.S.C. § 801 et seq., where applicable).
- No sexual or exploitative content. Do not post pornography, explicit nudity, sexual services/solicitation, or any sexually exploitative content. Any sexual content involving minors (or that appears to involve minors) is strictly prohibited and may be reported to relevant authorities.
- No hate, harassment, or threats. Do not post hateful, harassing, threatening, or discriminatory content, or content that promotes violence or harm against individuals or groups.
- No graphic violence or self-harm content. Do not post content that depicts gratuitous violence, gore, or encourages self-harm.
- No infringement or privacy violations. Do not post content that infringes copyrights, trademarks, or other rights, or that discloses private or confidential information (including personal addresses, payment details, or non-public communications). If you believe content infringes your rights, contact support via Help.
- No manipulation or deception. Do not post misleading reviews, fake ratings, impersonation content, or paid/incentivized endorsements without clear disclosure. Do not use bots, scripts, or coordinated activity to inflate views, likes, saves, or engagement.
Spotlight rules (product-linked creator content):
Spotlight is a short-form content feature designed to showcase products available on Shopperoll. Spotlight content must be related to products listed on the Service and must comply with these Terms and our content rules above. We may require “creator” eligibility for Spotlight features and may approve, revoke, or limit creator privileges at any time for risk, safety, or compliance reasons.
- Products must be linked. Each Spotlight must be connected to eligible Shopperoll products (for example, items you sell in your Store or items you purchased through Shopperoll where the Service requires purchase verification). Spotlight is not intended for unrelated entertainment content, off-platform advertising, or non-product posts.
- Purchase/ownership verification may be required. To protect buyers and reduce misleading content, we may require proof that you purchased a linked product (for example, the linked item was delivered/fulfilled in your order history) before a non-vendor Spotlight can be published. For vendor Spotlights, linked products must belong to the Store you own on Shopperoll.
- Limits and formatting. We may limit the number of products that can be linked to a Spotlight and may reformat content for display (including thumbnails, captions, and video encoding).
- No off-platform solicitation. Do not use Spotlight to direct users to pay outside Shopperoll, share external contact methods for transactions, promote external marketplaces, or bypass platform fees and protections.
- Enforcement. We may pause (make private), remove, or restrict a Spotlight, and we may suspend creator privileges or accounts for policy violations, repeated reports, suspected fraud, or legal/compliance requirements.
XI. PROHIBITED ACTIVITIES
You may not misuse the Service. Prohibited activities include any attempt to disrupt, damage, or gain unauthorized access to the Service, other accounts, or data. You must comply with all applicable laws and payment-network rules when using the Service.
- Security and access abuse. Attempting to hack, probe, scan, scrape, overload, reverse engineer, decompile, bypass access controls, defeat rate limits, or use automated systems that materially degrade performance or access data not intended for you.
- Fraud and financial crime. Using the Service for fraud, chargeback abuse, stolen payment methods, money laundering, deceptive practices, or any illegal activity; creating accounts with false identities; or attempting to conceal or misrepresent the true nature of transactions.
- Policy evasion and fee avoidance. Circumventing platform fees, directing users to transact off-platform, manipulating checkout flows, or otherwise undermining marketplace protections (including attempting to settle disputes or payments outside the Service where it affects an order or a user relationship formed on Shopperoll).
- Review and engagement manipulation. Posting fake reviews/ratings, coordinating inauthentic engagement, using bots to inflate views/likes/saves, or offering incentives for reviews without clear disclosure where required.
- Prohibited items and restricted content. Listing, requesting, or facilitating prohibited or illegal items; posting content that promotes illegal drugs or controlled substances, sexual services, or other restricted activities; or using Spotlight or messaging to distribute disallowed content.
- Interference with others. Harassing users, interfering with transactions between other users, impersonating others, or attempting to access, collect, or disclose personal information without consent.
We may investigate suspected violations and take action, including warnings, removal of content, limiting features, canceling transactions, pausing or removing Spotlights, withholding payouts where applicable, or suspending/terminating accounts, consistent with applicable law and our risk and compliance obligations.
XII. INTELLECTUAL PROPERTY
The Service (including its software, code, user interface, design, “look and feel,” layouts, databases, compilation of content, audio/visual elements, text, graphics, images, video players, workflows, and all related technology) is owned by Shopperoll and/or its licensors and is protected by intellectual property and other laws. Shopperoll’s name, logos, product and feature names (including “Shopperoll” and “Spotlight”), and other trademarks or service marks are the property of Shopperoll or their respective owners.
Subject to your compliance with these Terms, Shopperoll grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business use (as applicable) only as made available through the Service. No rights are granted to you except as expressly stated in these Terms.
Except where expressly permitted by law or by Shopperoll in writing, you may not: (a) copy, reproduce, distribute, publicly display, or publicly perform the Service or any portion of it; (b) modify, translate, adapt, or create derivative works from the Service; (c) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas of any part of the Service; (d) remove, alter, or obscure any proprietary notices; or (e) use the Service to build, train, or improve a competing product or service (including by scraping or bulk extraction of content or data).
User Content remains subject to the license you grant in these Terms, and you remain responsible for ensuring you have the rights to post it. If you believe that content on the Service infringes your copyright or trademark, you may contact us via Help so we can review the report and take appropriate action consistent with applicable law.
If you provide suggestions, ideas, enhancement requests, or other feedback about the Service (collectively, “Feedback”), you agree that Shopperoll may use, disclose, reproduce, license, distribute, and otherwise exploit such Feedback for any purpose, without restriction, notice, attribution, or compensation to you, to the maximum extent permitted by law. You represent that you have the right to provide Feedback and that it does not infringe any third-party rights.
XIII. THIRD-PARTY SERVICES
The Service may connect to, integrate with, or rely on third-party services, products, and APIs (collectively, “Third-Party Services”). Examples may include payment processors, identity/phone verification providers, address validation, fraud and risk tools, shipping carriers, label-purchasing tools, video hosting/streaming, communications providers, and analytics services.
Third-Party Services are not owned or controlled by Shopperoll. Their availability, performance, and functionality may change at any time, and they may be subject to outages, delays, errors, or policy updates. To the maximum extent permitted by law, Shopperoll is not responsible for Third-Party Services, including their acts or omissions, accuracy, security practices, pricing, or compliance, and we do not make warranties about them.
Your use of Third-Party Services may be governed by separate terms, policies, or notices provided by those third parties. You are responsible for reviewing and complying with those terms. If you do not agree to a third party’s terms, you may not be able to use certain features of the Service (for example, payment processing, shipping label purchase, video upload/streaming, or verification).
Certain features may require you to provide information directly to Third-Party Services (for example, payment credentials, verification details, shipping address data, or video upload data). You authorize us to share information with Third-Party Services as needed to provide the Service, consistent with our Privacy Notice.
XIV. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPPEROLL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, SHOPPEROLL DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) DEFECTS WILL BE CORRECTED; (C) THE SERVICE OR ANY CONTENT (INCLUDING USER CONTENT, PRODUCT LISTINGS, REVIEWS, OR SPOTLIGHT CONTENT) WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR (D) ANY RESULTS OBTAINED FROM USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
YOU UNDERSTAND THAT MARKETPLACE TRANSACTIONS INVOLVE THIRD PARTIES (SELLERS, CARRIERS, PAYMENT PROVIDERS, AND OTHER SERVICE PROVIDERS). SHOPPEROLL DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR AVAILABILITY OF PRODUCTS LISTED BY SELLERS, OR THAT A SELLER WILL COMPLETE A TRANSACTION. ANY PRODUCT-RELATED WARRANTIES, IF ANY, ARE PROVIDED BY THE SELLER OR MANUFACTURER AND NOT BY SHOPPEROLL, UNLESS EXPRESSLY STATED OTHERWISE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON IMPLIED WARRANTIES, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU. IN SUCH CASES, DISCLAIMERS WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
XV. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPPEROLL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
XVI. INDEMNIFICATION
You agree to indemnify and hold harmless Shopperoll and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the Service, your Content, your violation of these Terms, or your violation of any rights of another party (including intellectual property or privacy rights).
XVII. TERMINATION
You may stop using the Service at any time. We may suspend, restrict, or terminate your access to the Service (including any Accounts, Stores, listings, Spotlight creator features, messaging, payouts, or other functionality) at any time, with or without notice, if we reasonably believe it is necessary to protect the Service, users, or third parties, or to comply with law.
Reasons for suspension or termination may include, without limitation: (a) suspected or actual fraud, chargeback abuse, money laundering, or other unlawful activity; (b) security incidents, account compromise, or attempts to bypass authentication or access controls; (c) violations of these Terms, Seller rules, Content rules, or other platform policies; (d) repeated abuse of returns/refunds/cancellations, disputes, promotions, referrals, or review systems; (e) harassment, threats, hate, or other harmful conduct toward other users or our staff; (f) posting prohibited content (including adult/sexually explicit content, exploitation, illegal drugs, or content that promotes illegal activity) or using Spotlight or messaging for non-Shopperoll product promotion in violation of platform rules; (g) providing false or misleading information, including identity, business, tax, or payout information; (h) repeated infringement allegations or intellectual property complaints; (i) repeated attempts to list prohibited or restricted items; or (j) legal, regulatory, or court order requirements.
Depending on the risk and circumstances, actions we may take include: issuing a warning; removing or limiting visibility of content; disabling features (such as Spotlight uploads, messaging, checkout, listings, or payouts); requiring additional verification; restricting certain payment methods; placing holds or reserves; canceling transactions; or terminating access entirely. We may also cooperate with law enforcement or regulatory authorities where required.
If your Account is terminated, you may lose access to content, order history, wallet balances, promotions, or other data associated with your Account, except to the extent we are required by law to provide access or portability. Where feasible and lawful, we may provide a limited ability to download or retrieve certain information. We are not responsible for any loss or deletion of data to the maximum extent permitted by law.
If you are a Seller, suspension or termination may include removing listings, disabling storefront features, limiting access to order management, and pausing or withholding payouts as reasonably necessary for risk management, dispute resolution, returns processing, or legal compliance. Sellers remain responsible for fulfilling Orders already accepted/confirmed unless those Orders are canceled in accordance with these Terms and applicable law.
Termination does not eliminate obligations incurred before termination. For example, you remain responsible for amounts owed, chargebacks, disputes, refunds, returns, taxes, fees, penalties, and any liabilities arising from your use of the Service or your Content.
Where applicable, Orders already in progress may continue to be processed to completion (including shipment, delivery, and returns handling) or may be canceled depending on the circumstances, Seller policy, risk signals, or legal requirements. We may retain or share information about such Orders with Sellers, payment providers, carriers, and other service providers as needed to complete processing or resolve disputes, consistent with our Privacy Notice.
The provisions of these Terms that by their nature should survive termination will survive, including (without limitation) sections relating to intellectual property, User Content licenses, payment obligations, chargebacks and disputes, disclaimers, limitations of liability, indemnification, and any other provisions intended to remain enforceable after termination.
XVIII. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes in the Service, business practices, features, technology, security requirements, legal/regulatory obligations, or for other operational reasons. When we update these Terms, we will revise the “Effective Date” (or similar date label) shown in the Terms.
We may provide notice of changes by posting an updated version on the Service, displaying an in-app notice, or sending an email or other message, where required or appropriate. Some changes may be effective immediately (for example, changes that address security issues, legal compliance, or clarify existing terms), while other changes may become effective after a reasonable notice period if required by applicable law.
Unless otherwise stated, your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and (if applicable) stop selling on the Service before the changes take effect.
If a change materially reduces your rights or materially increases your obligations, we will take reasonable steps to provide additional notice where required by law. If you are a Seller, certain changes may also be required to maintain access to Seller tools, payouts, or platform integrations.
